Terms and Conditions of Use

Article 1 - Purpose

These Terms of Use (hereinafter the "T&Cs") are intended to define the terms and conditions for access to and use of the desirely.co website and the Desirely SaaS platform (hereinafter the "Platform").

Access to the Platform and use of it imply full and complete acceptance of these T&Cs. If the User does not accept these T&Cs, they must refrain from using the Platform.

These T&Cs supplement the Terms and Conditions of Sale (T&Cs) and the Privacy Policy, accessible from the Site. In the event of any conflict between the T&Cs and the T&Cs of Sale, the T&Cs of Sale shall prevail for commercial matters.

Article 2 - Definitions

"Desirely": refers to Desirely, a simplified joint-stock company with share capital of €1,000.00, registered with the Paris Trade and Companies Register under number 102 631 108, with its registered office at 59 rue de Ponthieu, Office 326, 75008 Paris, represented by Mr. Romuald Pouget in his capacity as President, publisher of the Platform.

"Platform": refers to the website accessible at desirely.co, the web application accessible at app.desirely.co, the Desirely Chrome extension, and all associated SaaS services.

"User" or "Client": refers to any natural person or legal entity, of legal age and acting in a professional capacity, who accesses the Platform and/or subscribes to Desirely services.

"Account": refers to the User's personal area created when registering.

"Services": refers to all features offered by Desirely through the Platform.

"AI": refers to the conversational artificial intelligence system made available by Desirely.

"Model": refers to the content creator whose account on a third-party platform is managed through Desirely's services.

"Fan": refers to the subscriber or visitor interacting with a Model on a third-party platform.

"Third-Party Platforms": refers to subscription content platforms (including OnlyFans, MYM, Reveal.me) on which the Services are used.

Article 3 - Access to the Platform

3.1 - Access conditions

Access to the Platform is strictly reserved for adults who are eighteen (18) years of age or older and acting within the scope of their professional activity. The User declares that they are of legal age and have the legal capacity required to be bound by these T&Cs.

3.2 - Availability

Desirely makes every effort to provide access to the Platform 24 hours a day, 7 days a week. However, access may be temporarily suspended for maintenance, technical updates, failure of third-party providers (AI providers, hosting providers), or in the event of force majeure, without giving rise to compensation.

Desirely does not guarantee that the Platform will be free from errors, bugs, or malfunctions.

Article 4 - Account creation and management

4.1 - Registration

Use of the Services requires the creation of an Account. The User agrees to provide accurate, up-to-date, and complete information when registering and to update it if anything changes.

4.2 - Account security

The User is solely responsible for keeping their login credentials confidential and for any activity carried out from their Account. Any use of the Account shall be deemed to have been carried out by the User themselves.

If unauthorized use is suspected, the User must notify Desirely immediately at contact@desirely.co.

Each Account is personal and may not be transferred or shared with any third party without Desirely's prior written consent.

4.3 - Account deletion

The User may request deletion of their Account at any time by email to contact@desirely.co. Deletion will take effect within a reasonable period. The conditions for data retention and deletion after termination are detailed in the Privacy Policy.

Article 5 - User obligations

5.1 - General rules of use

The User agrees to use the Platform fairly, in accordance with these T&Cs, applicable laws and regulations, and in respect of third-party rights.

In particular, the User must not: use the Platform for unlawful, fraudulent, or public-order or morality-violating purposes; attempt unauthorized access to Desirely's or third parties' IT systems via the Platform; carry out reverse engineering, decompilation, disassembly, or any form of analysis of the Platform's source code, algorithms, or AI models; extract, scrape, collect, or automatically harvest any or all data, content, responses, or features of the Platform, including AI-generated responses; introduce viruses, malware, or any other harmful code; use robots, crawlers, or any automated device to access the Platform outside the interfaces and APIs provided for that purpose; resell, sublicense, or make access to the Services available to third parties without Desirely's written authorization; use the Services to develop a product or service competing with Desirely; use the Services in a manner that could constitute or facilitate criminal offenses, including pimping, invasion of privacy, exploitation of vulnerable persons, or endangerment of minors.

5.2 - Content liability

The User is solely responsible for the content, instructions, settings, and data they enter or transmit through the Platform. The User guarantees that such content complies with applicable law and does not infringe the rights of any third party.

In particular, the User warrants that they have the explicit and informed consent of each Model for the use of Desirely AI on their account.

5.3 - AI supervision

The User acknowledges that artificial intelligence is an assistance tool and not a substitute for human judgment. As such, the User agrees to regularly monitor AI-generated conversations, verify the relevance and compliance of sent responses, intervene without delay in the event of an inappropriate, inaccurate, or potentially illegal response, configure the AI with clear instructions that comply with the law, and not rely exclusively on AI without any human supervision for high-risk interactions (major financial negotiations, distress situations, suspicious behavior).

Article 6 - Protection of minors

6.1 - Fundamental principle

Protecting minors is an absolute priority for Desirely. Desirely's Services are intended to be used exclusively in interactions between adults.

6.2 - User obligations

The User solemnly agrees to verify the identity and age of majority of each Model before any use of the Services (the User may rely on the identity verification carried out by Third-Party Platforms but remains solely responsible in the event of failure), to keep proof of age and consent verification for each Model for the entire period of use of the Services and for a minimum period of five (5) years after the end of the collaboration, never to use the Services to interact with minors or persons suspected of being minors, to report immediately to Desirely any interaction involving an actual or suspected minor at contact@desirely.co, and never to use the Services to produce, distribute, or facilitate the distribution of content involving minors, whether directly or indirectly.

6.3 - Desirely detection tools

Desirely implements automated tools designed to detect high-risk situations involving minors in conversations processed by the AI. When such a risk is detected, the AI is automatically disabled for the relevant conversation and an alert is sent to the User via the configured notification channels (app, Telegram, etc.). The User must then take the necessary measures (verification, blocking, reporting to the authorities if necessary).

These tools do not constitute an absolute guarantee of detection and in no way relieve the User of their supervision responsibility.

6.4 - Reporting to the authorities

Desirely reserves the right to report to the competent authorities any content or behavior suggesting the exploitation or endangerment of a minor, in accordance with applicable legal obligations.

6.5 - Sanctions

Any breach of the obligations in this article will result in the immediate and permanent suspension of the User's Account, without notice or refund, and may lead to legal proceedings.

Article 7 - Sector-specific obligations

Given the nature of the activity, the User specifically agrees to comply with articles 225-5 to 225-12 of the French Criminal Code relating to pimping, Decree No. 2024-484 of May 30, 2024 relating to age verification and content moderation, Law No. 2024-449 of May 21, 2024 (SREN law), Regulation (EU) 2024/1689 (AI Act), including in particular the transparency obligation provided for in Article 50, and the general terms of the Third-Party Platforms on which the Services are used.

The User also agrees not to exert pressure, coercion, or control over the Models, to ensure the independence of the Models in managing their income and bank accounts, not to use AI to harass, threaten, psychologically manipulate, or scam fans, and not to use AI to generate false promises (fake meetings, false content promises, identity theft).

Article 8 - Transparency regarding AI use

8.1 - Legal transparency obligation

In accordance with Article 50 of Regulation (EU) 2024/1689 (AI Act), any person interacting with an artificial intelligence system must be informed of this in a clear and understandable manner.

8.2 - User responsibility

The User is solely responsible for informing fans about the use of an AI system in conversations. Desirely provides the necessary information but does not control the User's communication choices.

8.3 - Disclaimer

Desirely disclaims all liability in the event that the User fails to meet their transparency obligation toward fans. The User shall indemnify Desirely against any claim, lawsuit, or penalty arising from failure to comply with this obligation.

Article 9 - Third-Party Platforms

9.1 - Relationship with Third-Party Platforms

Desirely is neither affiliated with, nor partnered with, nor endorsed by Third-Party Platforms (OnlyFans, MYM, Reveal.me, or any other platform). Desirely is an independent third-party tool used solely under the User's responsibility.

9.2 - Compliance with Third-Party Platform terms

The User is solely responsible for complying with the general terms, usage policies, and rules of each Third-Party Platform on which they use Desirely Services.

9.3 - No guarantee

Desirely does not guarantee the ongoing compatibility of its Services with Third-Party Platforms, that the use of its Services complies with the general terms of Third-Party Platforms, or that the User will not be sanctioned (suspended, banned) by a Third-Party Platform due to the use of Desirely.

9.4 - Disclaimer

Desirely cannot be held liable for any consequence resulting from the suspension, restriction, or closure of the User's or a Model's account on a Third-Party Platform, whether or not that action is related to the use of Desirely Services.

Article 10 - AI moderation and filters

10.1 - Moderation tools

Desirely implements moderation tools built into the AI, including a keyword and high-risk content detection system, a minor-detection system in conversations, automatic filters on sensitive or illegal topics, and a customizable alert system sent to the User via Telegram or the app.

10.2 - Moderation limits

The User acknowledges that these tools do not provide an absolute guarantee and cannot detect every risky situation. The AI may sometimes generate inaccurate, inappropriate, or out-of-context responses, may fail to detect certain risky situations or problematic content, or may produce responses that, although technically compliant with the instructions, could be perceived as inappropriate in some contexts.

The User remains responsible at all times for supervising exchanges and intervening if a problem arises.

10.3 - User configuration

The User may configure keywords and custom alerts to be notified of specific situations. The User is strongly encouraged to set up these alerts and keep them updated.

Article 11 - Intellectual property

11.1 - Desirely rights

All elements making up the Platform (software, AI algorithms, source code, interfaces, design, text, graphics, logos, trademarks, databases, custom language models, system prompts, technical architecture, etc.) are protected by intellectual property rights and are the exclusive property of Desirely or its rights holders.

The User benefits from a personal, non-exclusive, non-transferable, non-assignable, and non-sublicensable right of use, limited to the term of their subscription and normal use of the Services.

Any unauthorized reproduction, representation, modification, distribution, or exploitation of the Platform or its elements constitutes infringement and is subject to civil and criminal penalties.

11.2 - User content

The User retains ownership of all data, content, and information they provide to the Platform. By providing such data, the User grants Desirely a limited, non-exclusive, and temporary license solely for the purpose of providing the Services. This license automatically ends when the Account is deleted or the subscription is terminated.

11.3 - Prohibition on reconstruction

The User is expressly forbidden from reconstructing, reproducing, or reusing the system prompts, personalization models, scoring algorithms, or any other proprietary element of the Platform, whether for personal, commercial, or competitive purposes.

11.4 - Third-party logos

The logos and trademarks of Third-Party Platforms displayed on the Site are shown for information purposes only. They remain the property of their respective owners.

Article 12 - Limitation of liability

12.1 - Nature of the obligation

Desirely provides its Services "as is" and "as available." Desirely is bound by a best-efforts obligation and not an obligation of result.

12.2 - Exclusions of liability

Desirely shall in no event be liable for any indirect, incidental, special, or consequential damages (including loss of profits, revenue, data, customers, business opportunities, or reputational harm), the accuracy, relevance, or quality of AI-generated responses, any inappropriate, inaccurate, offensive, or illegal message generated by the AI (including due to a malfunction, misconfiguration, or an unforeseen case), the User's acts or omissions, the consequences of the User's breach of the general terms of Third-Party Platforms, the suspension, restriction, or closure of the User's or a Model's account on a Third-Party Platform, damages resulting from unauthorized access to the Account, damages resulting from a failure of third-party providers (AI providers, hosting providers, Third-Party Platforms), claims from fans arising from the use of the Services, or the tax, social security, or regulatory consequences of the User's activity.

12.3 - No AI guarantee

The User acknowledges and accepts that artificial intelligence is a technology in constant evolution and may produce unexpected, inaccurate, or unsuitable results, that AI is not free from bias and may sometimes generate responses that do not perfectly match expectations or context, and that no guarantee is given as to AI's ability to achieve a specific level of quality, relevance, or performance.

Article 13 - Cooperation with the authorities

13.1 - Court orders and legal requests

Desirely reserves the right to communicate any information or data in its possession to the competent authorities (police, courts, CNIL, regulatory authorities) in the event of a court order or request from a legally authorized authority, a legal reporting obligation (particularly in matters of child protection), or a substantiated suspicion of unlawful activity endangering people.

13.2 - Retention for evidentiary purposes

If unlawful activity is suspected, Desirely reserves the right to retain the data of the User concerned beyond the normal retention periods, for a maximum period of five (5) years, in order to make it available to the competent authorities.

Article 14 - Sanctions and suspension

In the event of a breach of these T&Cs, Desirely reserves the right, without notice or formal notice, to temporarily suspend the User's Account access, permanently delete the Account, terminate the subscription without refund, take any appropriate legal action, and report offenses to the competent authorities.

In the event of a breach of Article 6 (Protection of minors) or suspicion of criminal activity, suspension is immediate and permanent, without notice.

Desirely will inform the User of the reasons for the suspension or termination by email, unless disclosing those reasons would compromise an investigation or harm the interests of third parties.

Article 15 - Hyperlinks

The Platform may contain links to third-party websites. Desirely exercises no control over these sites and disclaims all liability for their content.

Article 16 - Changes to the T&Cs

Desirely reserves the right to modify these T&Cs at any time. The User will be informed of any material change by email or notification. Continued use after the changes are published constitutes acceptance of the amended T&Cs.

Article 17 - Governing law and jurisdiction

These T&Cs are governed by French law.

In the event of a dispute, the parties agree to seek an amicable solution. Failing that within thirty (30) days, any dispute shall be subject to the exclusive jurisdiction of the competent courts of Paris, France.
