Terms and Conditions of Use

Section 1 - Purpose
These General Terms of Use (hereinafter "TOU") are intended to define the terms and conditions for accessing and using the desirely.co website and the Desirely SaaS platform (hereinafter the "Platform").
Accessing and using the Platform implies full and unconditional acceptance of these TOU. If the User does not agree to these TOU, they must refrain from using the Platform.
These TOU supplement the General Terms of Sale (GTS) and the Privacy Policy, available on the Site. In the event of any conflict between the TOU and the GTS, the GTS will prevail regarding commercial matters.
Section 2 - Definitions
"Desirely": refers to Desirely, a simplified joint-stock company with a share capital of €1,000.00, registered with the Paris Trade and Companies Register under number 102 631 108, with its registered office located at 59 rue de Ponthieu, Bureau 326, 75008 Paris, represented by Mr. Romuald Pouget as President, acting as publisher of the Platform.
"Platform": refers to the website accessible at desirely.co, the web application accessible at app.desirely.co, the Desirely Chrome extension, as well as all associated SaaS services.
"User" or "Client": refers to any natural or legal person, of legal age and acting in a professional capacity, who accesses the Platform and/or subscribes to Desirely services.
"Account": refers to the personal space of the User created during registration.
"Services": refers to all the features offered by Desirely via the Platform.
"AI": refers to the conversational artificial intelligence system made available by Desirely.
"Model": refers to the content creator whose account on a third-party platform is managed via Desirely's services.
"Fan": refers to the subscriber or visitor interacting with a Model on a third-party platform.
"Third-Party Platforms": refers to subscription-based content platforms (notably OnlyFans, MYM, Reveal.me, Uncove) on which the Services are used.
Section 3 - Access to the Platform
3.1 - Access Requirements
Access to the Platform is strictly restricted to individuals of legal age (eighteen (18) years or older) acting within the framework of their professional activity. The User represents that they are of legal age and possess the legal capacity to enter into these TOU.
3.2 - Availability
Desirely endeavors to ensure access to the Platform 24/7. However, access may be temporarily suspended for maintenance, technical updates, failures of third-party providers (AI suppliers, hosting hosts), or force majeure, without giving rise to any compensation.
Desirely does not guarantee that the Platform will be free from errors, bugs, or malfunctions.
Section 4 - Account Creation and Management
4.1 - Registration
Using the Services requires the creation of an Account. The User agrees to provide accurate, current, and complete information during registration and to update it in the event of any changes.
4.2 - Account Security
The User is solely responsible for maintaining the confidentiality of their login credentials and for any activity carried out from their Account. Any use of the Account is deemed to be performed by the User themselves.
In case of suspected unauthorized use, the User must notify Desirely immediately at contact@desirely.co.
Each Account is personal and cannot be transferred or shared with a third party without the prior written consent of Desirely.
4.3 - Account Deletion
The User may request the deletion of their Account at any time by emailing contact@desirely.co. Deletion will take effect within a reasonable timeframe. Data retention and deletion conditions following termination are detailed in the Privacy Policy.
Section 5 - Obligations of the User
5.1 - General Rules of Use
The User agrees to use the Platform fairly, in accordance with these TOU, current laws and regulations, and in respect of the rights of third parties.
In particular, the User is prohibited from: using the Platform for illegal, fraudulent purposes, or contrary to public order and morality; attempting to gain unauthorized access to the computer systems of Desirely or third parties via the Platform; reverse engineering, decompiling, disassembling, or analyzing in any form the source code, algorithms, or AI models of the Platform; extracting, scraping, harvesting, or automatically gathering all or part of the data, content, responses, or features of the Platform, including AI-generated replies; introducing viruses, malware, or any other harmful computer code; using robots, crawlers, or any automated device to access the Platform outside of the designated interfaces and APIs; reselling, sublicensing, or sharing access to the Services with third parties without Desirely's written consent; using the Services to develop a product or service competing with Desirely; using the Services in a way that could constitute or facilitate criminal offenses, including pimping, invasion of privacy, exploitation of vulnerable individuals, or endangering minors.
5.2 - Content Responsibility
The User is solely responsible for the content, instructions, parameters, and data they input or transmit via the Platform. The User guarantees that this content complies with applicable legislation and does not infringe on third-party rights.
In particular, the User guarantees that they have the explicit and informed consent of each Model for using the Desirely AI on their account.
5.3 - AI Supervision
The User acknowledges that artificial intelligence is an assistant tool and not a substitute for human judgment. As such, the User agrees to regularly supervise conversations generated by the AI, to check the relevance and compliance of sent responses, to intervene immediately in the event of an inappropriate, inaccurate, or potentially illegal response, to set up the AI with clear instructions compliant with legislation, and not to rely exclusively on the AI without any human supervision for high-risk interactions (such as major financial negotiations, distress situations, or suspicious behaviors).
Section 6 - Protection of Minors
6.1 - Core Principle
The protection of minors is an absolute priority for Desirely. Desirely's Services are intended to be used exclusively for interactions between consenting adults.
6.2 - User Obligations
The User solemnly agrees to verify the identity and legal age of each Model before any use of the Services (the User may rely on identity verification performed by Third-Party Platforms but remains solely responsible in case of failure), to keep proof of age verification and consent of each Model during the entire period of use of the Services and for a minimum of five (5) years after the end of the collaboration, to never use the Services to interact with minors or individuals suspected to be minors, to immediately report to Desirely any interaction involving a confirmed or suspected minor at contact@desirely.co, and to never use the Services to produce, distribute, or facilitate the distribution of content involving minors, directly or indirectly.
6.3 - Detection Systems of Desirely
Desirely deploys automated systems designed to detect high-risk situations involving minors in conversations processed by the AI. When such a risk is detected, the AI is automatically disabled for the conversation concerned, and an alert is sent to the User via the configured notification channels (app, Telegram, etc.). The User must then take the necessary measures (verification, blocking, reporting to authorities if required).
These systems do not constitute an absolute guarantee of detection and in no way relieve the User of their supervision responsibility.
6.4 - Reporting to Authorities
Desirely reserves the right to report to competent authorities any content or behavior raising suspicions of minor exploitation or endangerment, in accordance with applicable legal obligations.
6.5 - Penalties
Any violation of the obligations under this section will result in the immediate and permanent suspension of the User's Account, without prior notice or refund, and may lead to legal action.
Section 7 - Industry-Specific Obligations
Given the nature of the business, the User specifically agrees to comply with French Penal Code articles 225-5 to 225-12 relating to pimping, Decree No. 2024-484 of May 30, 2024 on age verification and content moderation, Law No. 2024-449 of May 21, 2024 (SREN law), Regulation (EU) 2024/1689 (AI Act) notably the transparency obligation set out in Article 50, and the general terms of use of the Third-Party Platforms on which the Services are used.
The User also agrees not to exercise pressure, coercion, or control over the Models, to guarantee the independence of Models in managing their earnings and bank accounts, not to use the AI to harass, threaten, psychologically manipulate, or scam fans, and not to use the AI to generate false promises (such as fake meetups, fake content promises, or impersonation).
Section 8 - Transparency Regarding AI Use
8.1 - Legal Obligation of Transparency
In accordance with Article 50 of Regulation (EU) 2024/1689 (AI Act), any person interacting with an artificial intelligence system must be informed of this in a clear and understandable manner.
8.2 - Responsibility of the User
The User is solely responsible for informing fans about the use of an AI system in exchanges. Desirely makes the necessary information available but does not control the User's communication choices.
8.3 - Disclaimer of Liability
Desirely declines all liability in the event of the User's failure to comply with their transparency obligation toward fans. The User indemnifies Desirely against any claim, lawsuit, or penalty resulting from the non-compliance with this obligation.
Section 9 - Third-Party Platforms
9.1 - Relationship with Third-Party Platforms
Desirely is not affiliated with, partnered with, or endorsed by Third-Party Platforms (OnlyFans, MYM, Reveal.me, Uncove, or any other platform). Desirely is an independent third-party tool used under the sole responsibility of the User.
9.2 - Compliance with Third-Party Platform Terms
The User is solely responsible for complying with the general terms, usage policies, and rules of each Third-Party Platform on which they use Desirely Services.
9.3 - No Warranty
Desirely does not guarantee the continuous compatibility of its Services with Third-Party Platforms, that the use of its Services complies with the terms of Third-Party Platforms, or that the User will not be penalized (suspension, ban) by a Third-Party Platform due to using Desirely.
9.4 - Disclaimer of Liability
Desirely cannot be held liable for any consequence resulting from the suspension, restriction, or closure of the account of the User or a Model on a Third-Party Platform, whether or not this action is linked to the use of Desirely Services.
Section 10 - AI Moderation and Filters
10.1 - Moderation Features
Desirely implements moderation systems integrated into the AI, including keyword and high-risk content detection, a minor detection system in conversations, automatic filters on sensitive or illegal topics, and customizable alerts sent to the User via Telegram or the application.
10.2 - Limitations of Moderation
The User acknowledges that these systems do not represent an absolute guarantee and cannot detect all high-risk situations. The AI may sometimes generate inaccurate, inappropriate, or out-of-context replies, fail to detect certain high-risk situations or problematic content, or produce responses that, while technically matching instructions, could be perceived as inappropriate in certain contexts.
The User remains under all circumstances responsible for supervising interactions and intervening in case of problems.
10.3 - Configuration by the User
The User has the option to configure keywords and custom alerts to be notified of specific situations. It is highly recommended that the User sets up these alerts and keeps them updated.
Section 11 - Intellectual Property
11.1 - Desirely's Rights
All components of the Platform (software, AI algorithms, source code, interfaces, design, texts, graphics, logos, brands, databases, customized language models, system prompts, technical architecture, etc.) are protected by intellectual property rights and are the exclusive property of Desirely or its licensors.
The User benefits from a personal, non-exclusive, non-assignable, non-transferable, and non-sublicensable right of use, limited to the duration of their subscription and normal use of the Services.
Any unauthorized reproduction, representation, modification, distribution, or exploitation of the Platform or its elements constitutes an infringement subject to civil and criminal penalties.
11.2 - User Content
The User retains ownership of all data, content, and info they provide to the Platform. By providing this data, the User grants Desirely a limited, non-exclusive, and temporary license solely for the purpose of delivering the Services. This license ends automatically upon Account deletion or subscription termination.
11.3 - Prohibition of Reconstruction
It is expressly forbidden for the User to reconstruct, reproduce, or reuse system prompts, customization models, scoring algorithms, or any other proprietary element of the Platform, whether for personal, commercial, or competitive purposes.
11.4 - Third-Party Logos
The logos and brands of Third-Party Platforms displayed on the Site are for informational purposes only. They remain the property of their respective owners.
Section 12 - Limitation of Liability
12.1 - Nature of the Obligation
Desirely provides its Services "as is" and "as available." Desirely is bound by an obligation of means and not of result.
12.2 - Exclusions of Liability
In no event shall Desirely be held liable for any indirect, incidental, special, or consequential damages (including loss of profits, revenue, data, customers, commercial opportunities, or brand damage), for the accuracy, relevance, or quality of the responses generated by the AI, for any inappropriate, inaccurate, offensive, or illegal message generated by the AI (including due to malfunction, poor configuration, or unforeseen cases), for the actions or omissions of the User, for the consequences of the User's breach of Third-Party Platform terms, for the suspension, restriction, or closure of the account of the User or a Model on a Third-Party Platform, for damages resulting from unauthorized access to the Account, for damages resulting from failures of third-party providers (AI suppliers, hosting services, Third-Party Platforms), for fan claims resulting from the use of the Services, or for the tax, social, or regulatory consequences of the User's activity.
12.3 - No AI Warranty
The User acknowledges and agrees that artificial intelligence is a constantly evolving technology and can produce unexpected, inaccurate, or inappropriate results, that the AI is not free from bias and may sometimes generate answers that do not perfectly match expectations or the context, and that no warranty is given regarding the AI's ability to reach a specific level of quality, relevance, or performance.
Section 13 - Cooperation with Authorities
13.1 - Legal Requests
Desirely reserves the right to share any info or data in its possession with the competent authorities (police, courts, CNIL, regulatory authorities) in the event of a judicial requisition or request from a legally authorized authority, a legal obligation to report (particularly regarding the protection of minors), or a well-founded suspicion of illegal activity endangering individuals.
13.2 - Retention for Evidentiary Purposes
In case of suspected illegal activity, Desirely reserves the right to keep the data of the User concerned beyond normal retention periods, for a maximum of five (5) years, to make it available to competent authorities.
Section 14 - Penalties and Suspension
In case of violation of these TOU, Desirely reserves the right, without prior notice or formal demand, to temporarily suspend access to the User's Account, permanently delete the Account, terminate the subscription without refund, initiate any appropriate legal action, and report violations to the competent authorities.
In case of violation of Section 6 (Protection of Minors) or suspicion of criminally punishable activity, the suspension is immediate and permanent, without prior notice.
Desirely will inform the User of the reasons for suspension or termination by email, unless communicating these reasons is likely to compromise an investigation or harm the interests of third parties.
Section 15 - Hyperlinks
The Platform may contain links to third-party sites. Desirely exercises no control over these sites and declines all responsibility for their content.
Section 16 - Modifications of the TOU
Desirely reserves the right to modify these TOU at any time. The User will be informed of any material change by email or notification. Continued use after the publication of modifications constitutes acceptance of the modified TOU.
Section 17 - Governing Law and Competent Jurisdiction
These TOU are governed by French law.
In the event of a dispute, the parties agree to seek an amicable solution. Failing this within thirty (30) days, any dispute will be submitted to the exclusive jurisdiction of the competent courts of Paris (France).
